They’ve closed dozens of owner-financed deals and still couldn’t tell you where the acceleration clause lives. I’m not saying that to be critical. I’m saying it because owner finance contracts aren’t hard once you know the specific parts that matter. Those specific parts are exactly where deals fall apart.

I started doing creative deals in 2006, right into the subprime crash. Owner finance was everywhere back then, and I watched a lot of it done badly. Here’s what doing it right looks like, with the number that matters at each stage and the mistake I see kill the deal most often.

Step 1: Lock the three financial terms before you open a contract — 90% of blown deals start here

I’ve watched agents start with a contract template and fill in terms during negotiations. That works right up until the buyer sees a three-year balloon and the seller expected seven.

Write the term sheet first. Down payment on a residential owner-financed deal typically runs 10-20%. Interest rate runs 1.5-3 points above going conventional — my seller is acting as lender, and they should be compensated for carrying that risk. Balloon: I target 3-7 years. Short enough to protect my seller. Long enough for the buyer to build credit and refinance out.

Treat the balloon like a footnote and you’re renegotiating at month 34.

Step 2: Pull title before you draft your owner finance contract — budget $150-250 and 3 business days

I need to know what I’m structuring before I draft a word. If my seller carries a $110k first mortgage on a $180k property selling with $27k down, I’m building a wrap. The buyer’s payments have to cover my seller’s existing lien. That’s a different instrument than a clean carry, and if I don’t know which one I’m in, I’ve drafted the wrong contract.

Three structures exist: straight seller carry on free-and-clear title, an owner finance wrap over an existing note, or a contract for deed (installment sale). I decide which before I open any template.

Step 3: Draft the note and deed of trust — four clauses I check every time

The promissory note sets the payment terms. The deed of trust gives my seller actual security, meaning real foreclosure rights. In Texas, I care about getting this right because we’re a non-judicial foreclosure state. A correctly drafted deed of trust can move through the process in roughly 40-60 days from notice. A badly drafted one turns into a court fight.

Four clauses I verify on every deal: the amortization schedule (interest-only vs. fully amortizing changes the payment by hundreds of dollars), the late fee (I write it as 5% of the monthly payment or a $25-50 flat — pick one and be specific), the acceleration clause (what triggers the full balance due, not just the monthly payment), and the balloon date in plain calendar language.

Step 4: Run the Dodd-Frank / Texas SAFE Act check — sellers have a 3-deal annual limit

This one surprises people every time I bring it up. Under Dodd-Frank and the Texas SAFE Act, my seller can carry the note on their own residential property for up to 3 owner-financed transactions per 12-month period before they need to work with a Residential Mortgage Loan Originator. Deal four puts them in violation — and I’ve seen sellers who invest actively get close to that number without realizing it.

If my seller is approaching that limit, or if they’re a business entity rather than an individual, I get an RMLO in the deal before signatures. Not after.

Step 5: Record every instrument and set up a servicer — $26-46 to record, $20-35/month to service

I pay the recording fee. Every time. An unrecorded deed of trust protects nobody when a dispute shows up.

The servicer is where I see sellers try to save $30/month and create problems that cost thousands. That monthly fee buys you payment statements, an accurate payoff balance, a Form 1098 for tax time, and a paper trail that settles disputes before they become lawsuits. I’ve seen sellers skip this and end up in small claims court over a single missed month nobody could document.

Step 6: Calendar the balloon and have the refinance conversation at year one — not month 34

My seller and my buyer both understand the balloon when they sign. That’s not the problem. The problem is nobody checks in for three years, and then month 35 shows up and the buyer can’t qualify for conventional financing.

I calendar a check-in at month 12. Has the buyer’s credit moved? Are they working with a mortgage broker? If they’re not on track, I’d rather know at year one. A note modification signed 18 months early is a three-page amendment. A forced renegotiation with a frustrated seller the month before the balloon fires is a lawsuit in the making.

If you’re writing these deals and your current broker makes you nervous about even bringing up owner finance, that’s worth understanding better.
