I’ve watched brokers say it, agents believe it, and deals collapse on the table because of it. The broker who’s never closed a creative deal in their life is telling you what you can’t do.

Let me walk you through what actually happens when you get this right.

The Setup

Picture this deal. An agent finds a motivated seller in the DFW suburbs. House is worth $185k retail after repairs. Foundation work is done and permitted. Roof has four years left, maybe. Seller is behind on payments and wants out clean.

She gets it under contract at $118k. End buyer is lined up at $145k. That’s a $27k spread sitting right in front of her.

Her broker finds out. He calls her in and says, “You can’t assign this contract. You’re licensed. That’s brokerage activity.”

She calls me.

I’ve had this conversation 40 times, easy.

Where Her Broker Was Half-Right

I won’t pretend TREC has no opinion here. In Texas, if you’re a licensed agent marketing someone else’s contract for a fee, that can look like brokerage activity. Your license doesn’t disappear just because you’re doing creative deals. That part is real.

But her broker was completely wrong about the fix. Killing the deal isn’t the answer. Structure is.

The Play: Novation

In Texas, a licensed agent can do wholesale-style transactions using a novation. You substitute the end buyer onto the original purchase contract, with full seller knowledge and consent. No assignment of equitable interest. No unlicensed brokerage activity. No gray zone.

The required piece: disclosure. Because she’s licensed, she has to disclose her status, her role, and the spread she’s making. In Texas, that’s a written disclosure. One page.

She disclosed. Seller was fine with it. They were getting their $118k either way. End buyer was fine. They were getting the house at $145k. The deal closed. She paid the flat transaction fee and kept the spread.

What she did NOT do: treat her license as something to hide. When you act like your license is a liability on creative deals, you create actual liability. When you put it front and center, document everything, and disclose properly, the deal is more defensible than one done by an unlicensed wholesaler.

What Her Old Broker Actually Told Her

He told her to back out and refer the deal to an investor she knew. A referral fee, maybe a few thousand dollars.

I understand why he said it. Creative deals weren’t his world. But I’m not trading a $27k spread for a referral check, and she shouldn’t have been either.

Most agents lose money on real estate agent wholesale deals because of their broker, not because of TREC. The broker you sign with determines whether those deals live or die.

Most sponsoring brokers don’t know how to handle these. Creative deals are outside their business model.

Three Things She Did Right

Eventually.

First, she kept the deal alive instead of folding the moment her broker said no. Most agents kill creative deals at the first sign of resistance. Don’t do that. One broker’s “no” isn’t the law.

Second, she disclosed. I’ve seen agents try to hide their license status on wholesale-type transactions in Texas. That’s the fastest path to a TREC complaint. Put everything in writing. Disclose up front. Document the spread.

Third, she moved her license to a broker who understood the deal. My experience is that one change alone is worth more than any tactic I could teach her, because now every motivated seller she finds turns into a conversation instead of a dead end.

Your License Is the Advantage

I’ve been doing creative real estate since 2006. My career started during the subprime meltdown, when distressed deals were everywhere and almost nobody in traditional brokerage knew how to close them. I learned fast, because the deals were right in front of me.

What I know now: a license, used correctly, makes you more credible with motivated sellers. You can pull comps. You can verify title history. You can write contracts that hold. An unlicensed wholesaler is guessing at a lot of what you already know how to check.

The agent who can do wholesale deals, structure a subject-to offer, and write a novation agreement isn’t playing a smaller game. They’re playing a bigger one.

What Your Broker Will Actually Let You Do

That’s the question worth asking before you bring a deal to closing. At StepStone Realty (blacksheepbroker.com), we built our entire structure around agents who invest and agents who do creative deals. Our flat $400 transaction fee is the same whether you’re closing a traditional listing or a novation. No split. No “let me check with compliance” when you call about a subject-to.

That matters because the deals your broker won’t touch are the deals you’re leaving on the table every month.

Before you sign a sponsorship agreement with anyone, find out exactly what’s allowed: What your broker will actually let you do.

StepStone Realty: sponsorship at a brokerage that has closed these deals.

Get started with StepStone Realty

How to Flip and Wholesale Real Estate Like a Pro

Real Estate Agent Commission Calculator: The Real Numbers

How to Profit as a Real Estate Investor Agent Broker: A Case Study

Why Every Real Estate Agent Should Embrace Their Investor Side

Can a licensed Texas agent do wholesale deals?
